Naar een betere toepassing van het begrip ‘onafhankelijke bestuurder’ in de publieke sector


De recente bestuurshervormingen in de publieke sector hebben zich gericht op het belang van onafhankelijke bestuurders in de raden van bestuur van publieke organisaties. Deze notie van onafhankelijkheid blijft echter bijzonder complex in de publieke sector. GUBERNA is zich bewust van de moeilijkheden bij de selectie van onafhankelijke bestuurders, wiens onafhankelijk ‘statuut’ niet kan betwist worden, maar ook van de terughoudendheid die deels inherent is aan de vaagheid rond onafhankelijkheid in een publieke context. Daarom heeft GUBERNA het initiatief genomen een praktische tool te ontwikkelen om publieke organisaties en de verantwoordelijken voor de selectie en benoeming van bestuurders te helpen bij het aantrekken van bestuurders die voldoen aan de hoge normen van onafhankelijkheid. Als kenniscentrum voor goed bestuur wil GUBERNA graag tools ontwikkelen die organisaties ondersteunen bij de professionalisering van hun bestuur.

Towards a better application of the term 'independent board member' in the public sector

The recent governance reforms in the public sector are focused on the importance of independent board members in the board of directors in public organisations. This notion of independence remains incredibly complex in the public sector. GUBERNA is aware of the difficulties in the selection of independent board members, whose independent 'statute' cannot be disputed, but also the reluctance that comes from the vagueness of independence in the public sector. For this reason GUBERNA has taken the initiative to develop a practical tool to help public organisations and those responsible for the selection of board members to fulfill high independence norms. As a knowledge centre for good governance GUBERNA develops tools that support organisations to make their board (more) professional.


A tool developed with the help of our members

GUBERNA developed this practical tool with the help of expert members from the public sector. GUBERNA is convinced that shareholders should be involved with board reformations. During an event on 20 November 2018, GUBERNA introduced this practical tool. This event provided the opportunity to discuss the practical tools in-depth with the public and speakers present. Due to the public context of this initiative, GUBERNA also held a public consultation at the end of 2018. The comments that were received during this consultation were used to develop the final version of this tool. GUBERNA would like to thank everyone for their contributions to this initiative.
