GUBERNA Governance Coaching Programme

Do you want to further professionalise the governance in your SME, but you do not know exactly how to best proceed? You need external advice but are not sure whether your SME is ready for an advisory board or a board of directors with independent directors? Or are you already convinced of the added value of a board with external advisors but do not know which profiles you need and how to best approach this?

 

In spite of the vast amount of literature on governance, there is no single manual that can be applied to every SME. Therefore, we observe that SMEs need pragmatic advice and practical tools to determine and implement the most appropriate governance model.

To this end, we have developed the GUBERNA Governance Coaching Programme. Through the unique combination of interactive workshops with a mentoring trajectory of approximately six months, GUBERNA and DEMINOR Shareholder & Governance Services put their longstanding expertise at the service of your company and help you to further fine-tune and professionalise your governance.

Methodology

Our Governance Coaching Programme consists of 3 phases

We start with two training afternoons that run from 4 pm to 8 pm. During these sessions, you will receive all the keys to professional governance that is tailored to you and your SME. In so far as sanitary measures allow, these sessions will be held physically. We place special emphasis on customisation so that you can achieve the objectives and expectations you have set. That is why we also limit the number of participants. Below you will find an extensive overview of what we cover in these 2 afternoons.

Subsequently, an implementation period of about 6 months starts. During this period, you will be guided by a mentor from the GUBERNA Pool of Talent, composed of certified and experienced directors. You can count on constructive listening and practical advice in an informal setting where the emphasis is on personal exchanges.

We festively close this track with a joint event with all participants of the GUBERNA Governance Coaching Programme 2021.

Educational sessions

Session 1: your board today

The building blocks of good governance – workshop conducted by an expert from GUBERNA

  • What are the essential building blocks of good governance?
  • What is the difference between an advisory board and a board of directors?
  • How can good governance contribute to a more resilient organisation?
  • What are the options?

Together with you, we will take a closer look at the tasks, powers and responsibilities of each of the governance bodies and how they interact.

An entrepreneur who has completed a governance trajectory, shares his experience and practical tips on the following topics:

  • What should you take into account when composing your board?
  • How can you make your board function optimally?
  • Does a board with outsiders mean that you give up a bit of control or does it just allow you to have more control over the ins and outs of your organisation? 

This practical testimony will allow you to check all your expectations and questions. 

 

Governance Mapping – workshop conducted by an expert from DEMINOR Shareholder & Governance Services

Together we map out the most important characteristics of the governance of your organisation. We reflect on the desired size and composition of your future board based on your strategic challenges and determine the expected agenda of the first meetings of your future advisory board or board of directors.

At the end of day 1, you will have access to the GUBERNA GMS-tool (Governance Maturity Scan) which provides you with a clear overview of where you stand in the professionalisation of your board. The GUBERNA GMS indicates which points you still need to reflect on.      

Session 2: your board of tomorrow

Results GUBERNA GMS tool – workshop conducted by the experts of GUBERNA and DEMINOR Shareholder & Governance Services

We analyse the results of the GUBERNA GMS tool individually and as a group and use them to determine what you want to achieve with your future board.

  • Which profiles should be present?
  • How many independent directors do you want to involve?
  • How often will your board of directors/advisors meet?
  • Are the strategic points of attention for the future board sufficiently clearly defined?
  • Are you ready to take the step?

An entrepreneur who has already completed a governance trajectory shares his experience and practical tips with you. Through this practical testimony, you can address all your expectations and questions.

 

The composition of your future board" – workshop conducted by the experts of GUBERNA and DEMINOR Shareholder & Governance Services

Together we define the job descriptions for your future directors/advisors based on the previous reflections and identify the hard skills (and soft skills) your board needs to further grow your business and serve as a sounding board for the strategic challenges you have identified.

What will you have acquired at the end of these two interactive sessions?

  • You have an in-depth understanding of your current governance and strategic challenges
  • You know what the composition of your future board should look like
  • you will have job descriptions for your future director(s)/advisor(s)
  • you will have access to the GUBERNA network for the distribution of your job vacancies

Mentoringtrajectory

Obviously, two training days are not enough to master all aspects of good governance. That is why the GUBERNA Governance Coaching Programme also includes a mentoring programme during which a governance expert from the GUBERNA Pool of Talent supports you for 6 months.

The coaching sessions are organised in each of the following regions:

  • East Flanders 
  • Liége(FR)

The first two afternoons from phase 1 (4.00 pm - 8 pm) will take place at organisations that will share their governance trajectory. The mentoring trajectory (6 months) and the closing event could be organized in an online, life or hybrid formula depending on the evolution of the Covid-19 related restrictions. State-of-the-art technology will allow every participant to receive personal advice and interact in the most optimal way.

  • Following these 2 interactive workshops, a mentoring trajectory of 6 months takes place for which we fix the agenda in mutual agreement.
