This paper argues that mainstream corporate governance recommendations and best practices do not necessarily serve the interest of innovative enterprises. This is hardly surprising given that the main consideration underpinning corporate governance (at least at listed companies) is how to “protect” the interests of minority shareholders rather than determining how to build an innovative company. 

In May, the Latvian EU Presidency organized the 16th CG Conference entitled “Corporate Governance – a tool to increase competitiveness in the digital era”.

Regulatory and political scrutiny of boards has led to an increase in the risks and potential liabilities faced by individual directors. The impact of this new environment is also felt in the rising number of directors’ and officers’ (D&O) insurance claims. The Report helps board members understand the extent of their liabilities in this complex and increasingly challenging new world.

This pan-European report offers an overview of the approaches adopted at national level in terms of the implementation, monitoring and enforcement of Corporate Governance Codes.

This publication aims to raise awareness of these challenges and develop clear insights on how private equity funds and investee companies might solve them.

With the support of Ageas, Deloitte and Laga, in 2008 GUBERNA created the Centre Internal Governance aiming to raise governance awareness at the level of corporate groups, their subsidiaries and directors.
